Governance Guidelines

Supported by our senior management, the Program is supervised by the Conduct Committee and guided by the principles of our Code of Ethics and corporate policies, whose guidelines are approved by the Board of Directors. It addresses priority issues as anti-corruption, fair competitive practices, anti-harassment and anti-discrimination, among other everyday topics.

Training and Communication

The permanent agenda of training and communication campaigns aims to consolidate the culture of integrity among all employees. As a key goal of the ESG 2030 Plan, the Company aims to position itself at the highest level of integrity culture, in addition to being a reference and a positive influence to its suppliers, business partners, customers, sector peers, and the business environment as a whole. 

Risk Management, Audit and Control

Risk management follows the guidelines of the Corporate Risk Management Policy, approved by the Board of Directors, which establishes the main aspects to be monitored as well as the mitigation instruments and the roles and responsibilities of those involved in the process. It is an integrated model, which includes specific business management and the management of priority themes by Ultrapar’s senior leadership.  

Themes are positioned in the Risk Matrix according to their level of impact and vulnerability and are categorized into five families: strategic and sustainability, financial, cyber, operational and integrity. 

Internal Audit

Risk management works along the Internal Audit department, which is responsible for checking internal business procedures and internal controls of the business, identifying opportunities for improvements in the risk management process and contributing to update the risk map and the Integrity Program.  

The area also performs internal financial and operational audits, following a planning approved annually by the Audit and Risk Committee, and carries out internal control effectiveness tests as part of the Sarbanes-Oxley (SOX) certification process, required for the financial statements presented to the American market. 

Canal Aberto

Ultra Group offers an official and secure tool for employees and stakeholders to report any deviations from the Code of Ethics or any corporate policy. The channel can also be used to clarify doubts or seek guidance on corporate guidelines, policies and standards related to honest and ethical behavior within the organization.   

Called Canal Aberto, our whistleblowing channel is operated by an independent company that treats information with confidentiality and diligence. Users are assured of anonymity if desired, confidentiality during the investigation, protection against retaliation, and an impartial and independent investigation conducted by the Risk, Integrity and Audit Department, an exempt and accountable body to the Board of Directors.
